THIS IS THE RELEASE!!

This release is an agreement for this event and applies to any future events by The Willow Sage Loft LLC in conjunction with Strathsmith farms LLC furthermore in the rest of this document.

I understand that Breathwork events, Day workshops, Retreats, Packages, Coaching and any other services conducted from and by The Willow Sage Loft LLC, Soulcation Retreats are non-refundable.  A non-refundable deposit of $500 is required to reserve your spot in a retreat, and a minimum of half the ticket price for day workshops, with the second half of the payment due one month before the first day of class.  Retreat payments are non-refundable.  Before paying the deposit, ticket price or first half of the retreat deposit, please confirm that the dates work on your end, and that you have all of your questions answered regarding safety and the participation agreements.

Due to the support services, providers, amenities and so forth that are planned and provided and logistics required to facilitate these events, no refunds will be issued once payments are received.  Credit or rescheduling is solely at the discretion of the Organizer.

Anyone who agrees to these terms and conditions also agrees to the terms within the no refund policy.

I, the participant, (“Releasor/Participant”), understand that in participating in consultations, coaching concessions, breathwork sessions, Healing Retreats, With The Willow Sage Loft LLC,

I, hereby agree that signing this document, by clicking to continue to purchase a ticket,  I agree to wave certain legal rights including the right to sue the organizer The Willow Sage Loft LLC, Soulcation Retreats and if applicable it's employees, owners, operators, volunteers, representatives, agents, facilitators from any physical, tangible, intangible loss or damage that may happen to me at this retreat or said event.  I will be voluntarily participating in this event that will be organized by The Willow Sage Loft LLC.  The Retreat is including but not limited to the activites listed above.

This retreat waiver will bindand be enforceable against me and all of my personal representatives.  I agree that this retreat waiver will be enforceable to the fullest extent of the law, and if any portion is held invalid, the remainder should continue in full legal force and effect.

I specifically aknowledge and agree that this document is not intended to be a general release, which would be limited under some state and local laws.

This waiver shall be construed and interpreted as broadly as possible in the applicable jurisdiction.

I agree to defend and indemnify the organizer and any of its affiliates (if applicable) and hold them harmless against any and all legal claims and demands, including reasonable attorneys fees, which may arise from or relate to my participation in the retreat or my conduct or actions.  I agree that the Organizer shall be able to select its own legal counsel and may participate in its own defense, if desired.

Indemnification: I agree to defend and indemnify the organizer and any of its affiliates (if applicable) and hold them harmless against any and all legal claims and demands, including reasonable attorney's fees, which may arise from or relate to my paricipation in this retreat or said event, or coaching session or my conduct or actions.  I agree that the Organizer shall be able to obtain its own legal counsel and may participate in its own defense, if desired.

Governing Law: This retreat waiver shall be governed by and construed in accordance with the internal laws of the state in which the event is stated to be held without giving affect to any choice or conflict of law provision or rule.   Each party irrevocably submits to the exclusive  jurisdiction and venue of the federal state courts located in the following county, of the listed location in accordance to the information on the ticket purchase, in any legal suit action or  proceeding arising out of or based upon this retreat waiver.

I have read this waiver and all events partaining to this waiver and forfeit any liability, right, claim or ability to hold the Organizer responsible for any tangible or intangible damages, loss of property or loss of life, that may occur during or after the use of the facilities and participation in the Retreat or other event.

I agree to the following:

SERVICES & DISCLOSURE.  I understand that breathwork and Activities offered by Releasees are designed to enhance quality of life and support holistic wellbeing, and are not intended to constitute medical advice or any substitution for medical care. I understand that Activities are not intended to be relied upon for diagnosis or treatment in relation to any health problem, and services of the Facilitator do not replace the care of licensed professionals.

MEDICAL DISCLAIMER & CONTRAINDICATIONS.  I understand that breathwork and Activities may involve strong connected breathing, which can result in dramatic experiences accompanied by strong emotional and physical responses. I understand that I may find the Activities physically, emotionally, or mentally stressful, and that breathwork and Activities are not safe under certain medical conditions and not advised for persons with a history of cardiovascular disease or prior heart attack, high blood pressure, use of prescription blood thinners such as Coumadin, epilepsy or seizures, glaucoma, osteoporosis, severe asthma, bipolar disorder, schizophrenia, dissociative disorders, history of significant trauma, and during pregnancy.  I hereby state that I am not pregnant, and if any of the above conditions apply to me, I will advise the Facilitator prior to participation. I understand that the Facilitator is not qualified to evaluate my fitness for involvement in the Activities, and that I am fully responsible for seeking medical help to treat all symptoms that are present before and after the Activities. I hereby state that I am physically and mentally fit to participate in Activities, and understand that it is solely my responsibility to seek professional support after Activities if I feel unstable mentally or emotionally. I knowingly waive any claim I may have against the Releasees for injury or damages that I may sustain as a result of participating in Activities. I hereby expressly and specifically assume the risk of injury or harm, and agree that my involvement in Activities is purely voluntary, and that I elect to participate in spite of the Risks. This evening is an approach to breathwork and breath therapy that includes certain techniques that can be used to resolve significant past events believed to be interfering with a person’s present mental and emotional wellness.  Only people with sound mental health who are confident that a review of past events will not adversely impact their emotional or mental health should participate. We request that you do not participate in breath therapy of any kind if you or your treating practitioners have any past or existing concerns about your mental health.  RISKS.  I understand and acknowledge that the Activities in which I am participating in bear certain known inherent risks that contribute to the unique character of these Activities, and that Facilitator cannot eliminate, alter, or control these inherent risks. “Risks” include, but are not limited to, known and unknown health conditions, inaccessibility to immediate medical attention, risks inherent in breathwork that include, but are not limited to, over-exertion, psychological distress and disorientation, hyperventilation, respiratory alkalosis, muscle spasms, chest pain, numbness, heart attack, death, and injury or death caused by negligence on the part of Participant or other people around Participant.    Breathwork is not intended to be a substitute for professional medical advice and should not be relied on as health or personal advice. Always seek the guidance of your doctor or other qualified health professional with any questions you may have regarding your health or a medical condition.  By participating in the Workshop you agree to the following terms and conditions:  1.  The Nature of the Workshop The information presented during the Workshop, including ideas, suggestions, techniques, trainings, exercises, initiations, processes, activities, energetic activations, empowerments, downloads, instructions, and other materials (collectively the “Materials”), is educational in nature and is provided only as general information and is not medical or psychological advice.  You understand the Workshop is experiential in nature and focuses solely on personal growth and spiritual transformation and is not to be considered treatment for any physical, emotional, or mental disorder. You agree to consult with your health care providers for any specific medical, emotional, or psychological problems or issues in advance of the Workshop. Further you agree to take full responsibility for your self-care during the Workshop and after.  Any stories or testimonials presented before or during the Workshop do not constitute a warranty, guarantee, or prediction regarding your experience during or after the Workshop. Further, you understand that the Teacher makes no warranty, guarantee, or prediction that you will experience any particular state of awareness or consciousness during or after the Workshop, nor does it make any representation that you will experience any particular outcome on an issue. Due to the fact that the Workshop includes group processes in which you may voluntarily reveal personal information, you understand that you waive your rights of privacy and confidentiality.  You acknowledge and agree that anything and everything discussed with the Teacher or any Workshop participant is merely a perspective for you to consider. You further understand that your participation in the Workshop is not intended to create nor does it establish a client-practitioner relationship or any other type of therapeutic or professional relationship between you and the Teacher.  Please be advised that by participating in the Workshop, emotional or physical sensations may surface which could be perceived as negative side effects and possibly cause psychological and/or physical discomfort. If you experience any distressing reactions by participating in the Workshop, you agree to ask for help from the Teacher.  2. Waiver of Liability You represent that you are competent and able to understand the nature and consequences of participating in the Workshop, and that you are an adult under the laws of the State of your residence. If you are a minor, your parent or legal guardian hereby represents that you are competent and able to understand the nature and consequences of participating in the Workshop.  You understand that your participation in the Workshop is strictly voluntary, at your 
own risk, and that you freely choose to participate. Since the Workshop is experiential and the extent of the Workshop’s risks and benefits are not fully known, you agree to assume and accept full and complete responsibility for any known and unknown risks associated with your participation in the Workshop, including any physical injury, psychological or emotional effects, death, loss, or property damage.  You agree to release Lori Engel the Teacher, volunteers, and any independent contractors from any liability resulting from your participation in the Workshop. Specifically, you and your heirs agree to fully release, indemnify, hold harmless and defend Lori Engel (“Company”, “we”, or “us”) [The Willow Sage Loft LLC], the Teacher, volunteers, and any independent contractors, from any and all claims or liability, and for any damage or injury, including but not limited to, financial, personal, emotional, psychological, medical, or otherwise, which you may incur arising at any time as a result of your voluntary decision to participate in the Workshop.  In the event of an accident, injury or sickness, you give permission to the Teacher, volunteers, and any independent contractors to seek medical attention and/or authorize emergency medical treatment if necessary. The Teacher will first attempt to communicate with your authorized emergency contact before seeking medical treatment for you, unless it is not feasible or practical. Robert Jason Holland (“Company”, “we”, or “us”) [DBA Jason Samadhi, Samadhi Breath], the Teacher, volunteers, and any independent contractors will not be held liable for any accident, injury, sickness, death, loss, or property damage that might arise out of or in connection with such authorized emergency medical treatment.  You further agree to hold harmless Lori Engel (“Company”, “we”, or “us”) [The Willow Sage Loft LLC], the Teacher, volunteers, and any independent contractors from any damages or costs, including Court and attorney’s fees, which may be incurred due to your participation in the Workshop.  You agree and understand the Workshop may be filmed, photographed and/or recorded and that Lori Engel (“Company”, “we”, or “us”) [The Willow Sage Loft LLC] and the Teacher shall have all rights in and to such film, photographs and/or recording, including the copyright therein.  The copyright shall include, but not be limited to, the right to use, re-use, publish, and re-publish and otherwise reproduce, modify, and display any such film, photograph and/or recording for educational and promotional purposes, including without limitation, websites, video, or film or any other form of recorded images.  You grant Lori Engel (“Company”, “we”, or “us”) [The Willow Sage Loft LLC] and the Teacher the right, without compensation to you, to film, photograph and/or record you while participating in the Workshop and you waive any right which you now have or may have hereafter in any such film, photograph and/or recording. You agree to not record by audio, video, photographic or any other means, any portion of the Workshop.  Any and all matters in dispute between the parties to this Agreement, whether arising from or relating to the Agreement itself, or arising from alleged extra-contractual facts prior to, during, or subsequent to the Agreement, including, without limitation, fraud, misrepresentation, negligence or any other alleged tort or violation of the contract, shall be governed by, construed, and enforced in accordance with the laws of the jurisdiction where the Workshop has been conducted, without regard to conflicts of law doctrines and regardless of the legal theory upon which such matter is asserted. If any portion of this Agreement is held to be invalid, it is agreed that the balance of the Agreement shall continue in full force and effect. This Agreement shall be binding upon you and your heirs, family, legal representative, successors, and assigns.  This Agreement constitutes the entire and final agreement between the parties and supersedes any prior oral or written agreements, discussions or understandings. This Agreement may not be modified in any respect except in writing describing the modification and signed by both parties.

By securing your position in the SOULCATION WORKSHOP, I hereby grant the following rights and permissions to "SOULCATION Workshops"  WAIVER AND RELEASE OF LIABILITY  IN CONSIDERATION OF the risk of injury that may exist while participating in a SOULCATION WORKSHOP Activities    IN CONSIDERATION OF my desire to participate in said Activity and being given the right to participate in same; I HEREBY, for myself, my heirs, executors, administrators, assigns, or personal representatives (hereinafter collectively, "Releasor," "I" or "me", which terms shall also include Releasor's parents or guardian if Releasor is under 18 years of age), knowingly and voluntarily enter into this WAIVER AND RELEASE OF LIABILITY and hereby waive any and all rights, claims or causes of action of any kind arising out of my participation in the Activity; and  I HEREBY release and forever discharge SOULCATION RETREATS , their affiliates, managers, members, agents, attorneys, staff, volunteers, heirs, representatives, predecessors, successors and assigns (collectively "Releasees"), from any physical or psychological injury that I may suffer as a direct result of my participation in the aforementioned Activity.  I AM VOLUNTARILY PARTICIPATING IN THE AFOREMENTIONED ACTIVITY AND I AM PARTICIPATING IN THE ACTIVITY ENTIRELY AT MY OWN RISK. I AM AWARE OF THE RISKS ASSOCIATED WITH PARTICIPATING IN THIS ACTIVITY, WHICH MAY INCLUDE, BUT ARE NOT LIMITED TO: PHYSICAL OR PSYCHOLOGICAL INJURY, PAIN, SUFFERING, ILLNESS, DISFIGUREMENT, TEMPORARY OR PERMANENT DISABILITY (INCLUDING PARALYSIS), ECONOMIC OR EMOTIONAL LOSS, AND DEATH. I UNDERSTAND THAT THESE INJURIES OR OUTCOMES MAY ARISE FROM MY OWN OR OTHERS' NEGLIGENCE, CONDITIONS RELATED TO TRAVEL TO AND FROM THE ACTIVITY, OR FROM CONDITIONS AT THE ACTIVITY LOCATION(S). NONETHELESS, I ASSUME ALL RELATED RISKS, BOTH KNOWN AND UNKNOWN TO ME, OF MY PARTICIPATION IN THIS ACTIVITY.  I FURTHER AGREE to indemnify, defend and hold harmless the Releasees against any and all claims, suits or actions of any kind whatsoever for liability, damages, compensation or otherwise brought by me or anyone on my behalf, including attorney's fees and any related costs.  I FURTHER ACKNOWLEDGE that Releasees are not responsible for errors, omissions, acts or failures to act of any party or entity conducting a specific event or activity on behalf of Releasees. In the event that I should require medical care or treatment, I authorize SOULCATION RETREATS to provide all emergency medical care deemed necessary, including but not limited to, first aid, CPR, the use of AEDs, emergency medical transport, and sharing of medical information with medical personnel. I further agree to assume all costs involved and agree to be financially responsible for any costs incurred as a result of such treatment. I am aware and understand that I should carry my own health insurance.  I FURTHER ACKNOWLEDGE that this Activity may involve a test of a person's physical and mental limits and may carry with it the potential for death, serious injury, and property loss. I agree not to participate in the Activity unless I am medically able and properly trained, and I agree to abide by the decision of SOULCATION WORKSHOPS  official or agent, regarding my approval to participate in the Activity.  I HEREBY ACKNOWLEDGE THAT I HAVE CAREFULLY READ THIS "WAIVER AND RELEASE" AND FULLY UNDERSTAND THAT IT IS A RELEASE OF LIABILITY. I EXPRESSLY AGREE TO RELEASE AND DISCHARGE SOULCATION RETREATS AND ALL OF ITS AFFILIATES, MANAGERS, MEMBERS, AGENTS, ATTORNEYS, STAFF, VOLUNTEERS, HEIRS, REPRESENTATIVES, PREDECESSORS, SUCCESSORS AND ASSIGNS, FROM ANY AND ALL CLAIMS OR CAUSES OF ACTION AND I AGREE TO VOLUNTARILY GIVE UP OR WAIVE ANY RIGHT THAT I OTHERWISE HAVE TO BRING A LEGAL ACTION AGAINST SOULCATION WORKSHOP FOR PERSONAL INJURY OR PROPERTY DAMAGE.  To the extent that statute or case law does not prohibit releases for ordinary negligence, this release is also for such negligence on the part of SOULCATION WORKSHOPS , its agents, and employees.  I agree that this Release shall be governed for all purposes by Utah law, without regard to any conflict of law principles. This Release supersedes any and all previous oral or written promises or other agreements. In the event that any damage to equipment or facilities occurs as a result of my or my family's or my agent's willful actions, neglect or recklessness, I acknowledge and agree to be held liable for any and all costs associated with any such actions of neglect or recklessness.  I agree to be photographed or be included in digital clips/ streams and give right to SOULCATION WORKSHOPS  the right to use my likeness, image, and/or voice. THIS WAIVER AND RELEASE OF LIABILITY SHALL REMAIN IN EFFECT FOR THE DURATION OF MY PARTICIPATION IN THE ACTIVITY, DURING THIS INITIAL AND ALL SUBSEQUENT EVENTS OF PARTICIPATION. THIS AGREEMENT entered into , without duress or coercion, and is to be interpreted as an agreement between two parties of equal bargaining strength. Both Participant, and SOULCATION WORKSHOPS  agree that this agreement is clear and unambiguous as to its terms, and that no other evidence shall be used or admitted to alter or explain the terms of this agreement, but that it will be interpreted based on the language in accordance with the purposes for which it is entered into.  In the event that any provision contained within this Release of Liability shall be deemed to be severable or invalid, or if any term, condition, phrase or portion of this agreement shall be determined to be unlawful or otherwise unenforceable, the remainder of this agreement shall remain in full force and effect. If a court should find that any provision of this agreement to be invalid or unenforceable, but that by limiting said provision it would become valid and enforceable, then said provision shall be deemed to be written, construed and enforced as so limited.
